1.Program Eligibility
The Commercials That Convert ("CTC," "we," "us") Partner & Referral Program ("Program") is open to professionals, consultants, agencies, and organizations that serve businesses and wish to refer qualified prospects. Eligibility requires a completed application and approval by CTC. CTC may decline an application at its sole discretion.
2.Partner Types
The Program offers three general partnership paths:
- Referral Partner — earns 15% of Eligible Collected Project Revenue.
- Strategic Partner — earns 20% of Eligible Collected Project Revenue (requires approval).
- Agency / White Label — custom wholesale pricing under a separate agreement.
3.Referral Partner — 15%
Approved Referral Partners may earn 15% of Eligible Collected Project Revenue from qualifying accepted referrals. The Referral Partner's role is to recognize opportunities, introduce the prospect, and register the referral. CTC handles discovery, creative, production, editing, and delivery.
4.Strategic Partner — 20%
Approved Strategic Partners may earn 20% of Eligible Collected Project Revenue. Strategic Partners participate more actively in opportunity development, client introductions, discovery, recommendations, and ongoing business development across multiple qualified referrals.
5.Strategic Partner Approval
Strategic Partner status requires separate approval by CTC. If an applicant requests Strategic status but is approved only as a Referral Partner, the approved commission rate shall be 15%. Approved Partner Type and Commission Rate are recorded in CTC systems and are never determined by the applicant.
6.Agency / White Label
Qualified agencies, web design companies, consultants, creative firms, media companies, and production companies may apply for wholesale or white-label arrangements. Agency economics, margins, deliverables, and branding are established under a separate written agreement. No particular margin or pricing is guaranteed publicly.
7.Referral Registration
Partners register referrals through approved CTC methods, which may include a referral submission form, referral link, or warm introduction confirmed in writing. A referral is not considered registered until CTC has received and acknowledged the registration.
8.Accepted Referrals
A registered referral becomes an accepted referral only when CTC confirms it qualifies, is not already actively engaged with CTC, and is not otherwise excluded under these Terms. Acceptance is at CTC's sole discretion.
9.Existing Clients
Companies already actively engaged with CTC as clients, prospects, or opportunities are generally not eligible as new referrals unless CTC expressly approves the attribution in writing.
10.Pre-Existing Opportunities
Opportunities already known to CTC, already in the CTC pipeline, or previously contacted by CTC may be excluded from partner attribution at CTC's discretion.
11.Duplicate Referrals
If two partners register the same company, attribution is evaluated based on registration timestamp, CRM history, documented introduction, existing sales activity, and active partner attribution.
12.Referral Attribution
Generally, the earliest valid accepted referral receives attribution subject to these Terms. CTC's CRM records are the authoritative source for attribution decisions.
13.180-Day Referral Protection
An accepted referral is generally protected for 180 days while the opportunity remains legitimate and active. Referral registration does not create permanent ownership of a company. CTC may extend actively progressing opportunities at its discretion.
14.Eligible Collected Revenue
Eligible Collected Revenue means qualifying project revenue actually received and retained by CTC. Commission is not calculated from proposal amounts, quotes, unpaid invoices, unsigned agreements, or uncollected contract value.
15.Noncommissionable Revenue
Potential exclusions from Eligible Collected Revenue include:
- Taxes
- Refunds
- Chargebacks
- Credits
- Payment reversals
- Reimbursable expenses
- Third-party pass-through costs
- Specifically excluded services
16.Commission Calculation
Commission equals the partner's applicable rate multiplied by Eligible Collected Revenue for the qualifying project. Rates: Referral 15%, Strategic 20%, Repeat Client 10%.
17.Payment Processing
Approved commissions are processed monthly after applicable client payment, eligibility verification, refund, and administrative requirements have been satisfied. Partners may need to provide required payment and tax information before payout.
18.Refunds
If a client receives a refund on revenue for which commission was calculated, the commission is adjusted or reversed accordingly.
19.Chargebacks
Chargebacks reduce Eligible Collected Revenue. Commission is not owed on revenue that is charged back or reversed.
20.Credits
Credits issued to a client reduce Eligible Collected Revenue for commission purposes.
21.Payment Reversals
Any payment reversal, including failed or disputed transactions, reduces Eligible Collected Revenue and any associated commission.
22.Repeat Client Commission
Approved partners may earn 10% of Eligible Collected Revenue on qualifying additional CTC projects purchased by the originally referred client during the first 12 months following the client's first eligible paid project.
23.10% Repeat Commission
The repeat client commission rate is 10% of Eligible Collected Revenue on qualifying additional projects within the repeat window.
24.12-Month Repeat Commission Window
The repeat commission window is 12 months from the client's first eligible paid project. Projects outside this window are not subject to repeat commission unless separately approved.
25.No Lifetime Commissions
The repeat client commission is not a lifetime commission. It does not automatically apply to every purchase and applies only to eligible additional services within the defined window.
26.Client Pricing
CTC determines all client pricing. Partners do not set, promise, or guarantee pricing unless expressly authorized in writing by CTC.
27.Unauthorized Discounts
Partners may not offer discounts, promotional pricing, or special terms on behalf of CTC unless expressly authorized in writing.
28.No Authority to Bind CTC
Partners may not, unless specifically authorized in writing:
- Establish CTC pricing
- Offer unauthorized discounts
- Sign agreements for CTC
- Guarantee delivery schedules
- Guarantee results
- Accept CTC payments
- Make warranties
- Claim to be employees of CTC
- Make commitments on CTC's behalf
29.Independent Partner Relationship
Partners are independent contractors or referral contacts, not employees, agents, or legal representatives of CTC. Partners are responsible for their own business, taxes, and compliance.
30.Accurate Representation
Partners must represent CTC accurately and may not make false, misleading, or exaggerated claims about CTC, its services, or results.
31.Brand Usage
Approved partners may use approved CTC materials and brand assets solely for legitimate referral activity. CTC may revoke brand usage rights at any time. Partners may not misuse or misrepresent the CTC brand.
32.Intellectual Property
All CTC materials, creative, scripts, videos, and brand assets remain the property of CTC. Partners receive no ownership or license beyond approved referral use.
33.Confidentiality
Partners agree to keep non-public CTC information, including pricing, processes, and client information, confidential.
34.Prospect Data
Partners must only submit prospect information they are authorized to share and must comply with applicable data protection laws when providing contact details.
35.Privacy
Partner and prospect information is handled in accordance with the CTC Privacy Policy and applicable law.
36.Email/SMS/Outreach Compliance
Partners must comply with all applicable email, SMS, and outreach laws and regulations, including consent requirements. CTC is not responsible for partner outreach conducted outside approved materials and processes.
37.Referral Relationship Disclosure
Where required, partners must disclose their referral relationship and that they may receive compensation for referrals.
38.Taxes
Partners are responsible for any taxes owed on commissions received. CTC may require tax information before payout.
39.Agency Arrangements
Agency / White-Label arrangements are governed by a separate written agreement and are not covered by these standard Program Terms.
40.No Exclusivity
The Program is non-exclusive. Partners may refer to other services, and CTC may accept referrals from other partners and sources.
41.Prohibited Conduct
Prohibited conduct includes, without limitation:
- Self-referrals or referring entities the partner controls
- Fabricated or fraudulent referrals
- Spam or unsolicited mass outreach using CTC's name
- Misrepresentation of CTC services or guarantees
- Any unlawful, deceptive, or unethical practice
42.Fraudulent Referrals
Fraudulent referrals void any associated commission and may result in immediate termination and forfeiture of pending commissions.
43.Program Changes
CTC may modify these Terms, commission rates, protection periods, and program structure at any time. Material changes may require active partners to accept updated Terms. Version history is retained so that each partner's accepted version is preserved.
44.Termination
Either party may terminate the partner relationship at any time. CTC may terminate a partner for violation of these Terms, prohibited conduct, or inactivity.
45.Treatment of Pending Commissions
Upon termination, commissions for Eligible Collected Revenue already earned and verified remain payable subject to these Terms. Pending or uncollected revenue is handled at CTC's discretion according to the Terms in effect.
46.Program Records
CTC's CRM and internal records are the authoritative source for partner status, referral registration, attribution, eligibility, and commission status. Client-side information never determines these outcomes.
47.No Guaranteed Earnings
No earnings are guaranteed. Commissions depend on eligible referrals, client payment, and program terms. The number of referrals, projects, and commissions a partner earns varies and may be zero.
48.Partner Responsibilities
Partners are responsible for:
- Providing accurate application and referral information
- Reviewing and approving their own business claims
- Complying with these Terms and applicable law
- Maintaining the accuracy of their contact and tax information
49.Applicable Legal Provisions
These Terms are governed by applicable law. Provisions including governing law, venue, dispute resolution, indemnification, limitation of liability, warranty disclaimer, and notices are subject to qualified legal review and the final executed agreement. CTC does not provide legal advice to partners. If any provision is found unenforceable, the remaining provisions remain in effect.
